KEYW Investor Highlights

  • Announced the award of an Indefinite Delivery / Indefinite Quantity (IDIQ) contract with a maximum value of $40 million for software configurable radar systems, spares, additional engineering, and support services.
  • Announced that they have completed the previously announced transaction concerning the sale of Adaptive Optics Associates, Inc., a subsidiary of Metrologic ("AOA") to Essex. Needham & Company, LLC acted as financial advisors to Metrologic and its Board of Directors on this transaction.
  • Announced it has entered into a binding Purchase Agreement to acquire Adaptive Optics Associates, Inc. (AOA) from Metrologic Instruments. Under the terms of the Agreement, Essex will purchase all of the outstanding capital stock of AOA for approximately $40.3 million in cash. 
  • Essex expects AOA to be profitable, with over $36 million in pro forma revenue for 2006, of which more than 85% is for U.S. Government customers.
  • Announced it is increasing 2006 revenue guidance to the range of $230-$240 million. Revenues for the three month period ended June 30, 2006 were $63.8 million as compared to $41.4 million in the same period of 2005.
  • Income After Taxes was $1.6 million and $1.8 million in the three month periods ended June 30, 2006 and June 30, 2005, respectively.
  • Announced the launch of its software configurable radar system as a product. This product, the Multi-Band Synthetic Aperture Radar system or MB-SAR, is the first radar product of its kind on the market, offering the flexibility of changing and optimizing radar collection in real time using software controls.
  • Announced the completion of field testing of the radar Advanced Optical Processor (AOP) with a range radar. Successful completion of these tests was the last critical step in demonstrating that the AOP can be integrated with a radar while collecting and processing advanced arbitrary waveforms in real time.

Essex provides advanced signal, image, information processing, information assurance and cyber-security solutions, primarily for U.S. Government intelligence and defense customers, as well as for commercial customers. The Company creates  solutions by combining services and expertise with hardware, software, and proprietary and patented technology to meet customers' requirements.

Essex provides advanced optoelectronic imaging and signal processing services and products for U.S. Government intelligence, defense customers and communications customers with whom they have established and maintained long-standing and successful relationships. KEYW provides optoelectronic 3D imaging and signal processing services to classified U.S. Government customers under next generation research and development contracts. The Company delivers software for making intelligent decisions in complex environments, including- web-enabled GIS systems to manage and secure U.S. Army physical assets.

Essex supports the intelligence community's mission critical voice and video systems infrastructure and provides systems engineering services to highly classified U.S. Government customers. They build optical communications and networking system elements and components, as well as signal and image processing software products. While historically the Company has sold its products to the intelligence and defense markets, it believes existing products and its patent portfolio position it well to benefit from spending on next generation technology that decreases the costs and increases the speed, performance and security of existing communications networks.

Operations

Essex provides advanced optical and optoelectronic, signal processing services and products within the following four business areas:

  • Communications and Networks. Provides services and products that transmit and encode signals and analyze communications in a variety of formats. These services and products utilize optoelectronic and signal processing expertise to build highly secure, next generation networks that can provide wavelength provisioning and bandwidth on demand.
  • Cognitive Computing. Software tools and cognitive architectures are used to extract meaning from unstructured and complex textual, numeric, image and signal data. Once meaning is extracted, software tools enable intelligent decision support and predictive modeling.
  • 3-D Imaging and Geographic Information Systems. 3-D products feature optoelectronic processing and Synthetic Aperture Radar, or SAR, imagery technology to provide 3-D images. GIS products and services identify the location of objects within a three dimensional map. Applications for 3-D Imaging and GIS products include cloud, foliage and ground penetration, emergency operations management, change detection, utility monitoring, and mineral exploration.
  • Radar Analysis. Provides advanced optical processing products, which are high performance radar signal processors, that can be applied to radar signal analysis for advanced ballistic missile defense.
  • Critical Information Technology Infrastructure. Provides information technology, project management, integration and engineering analysis services which facilitate the modernization of the intelligence community's mission critical voice and video systems and associated infrastructure.
