Overview
CBIZ, Inc. is a provider of professional
business services to companies throughout the United States. As the largest
benefits specialist, one of the largest accounting, valuation and medical
practice management companies in the United States, CBIZ provides integrated
services in the following areas: accounting and tax; employee benefits;
wealth management; property and casualty insurance; payroll; IS consulting;
and HR consulting. CBIZ also provides internal audit; Sarbanes-Oxley 404
compliance; valuation; litigation advisory; government relations; commercial
real estate advisory; wholesale life and group insurance; healthcare
consulting; medical practice management; and capital advisory services.
These services are provided throughout a network of more than 140 Company
offices in 34 states and the District of Columbia.
CBIZ reported revenue of $132.1 million for
the fourth quarter ended December 31, 2005, an increase of $12.2 million
over $119.9 million reported for the fourth quarter of 2004. Same-unit
revenue for the quarter increased by 5.8%, or $7.0 million. Revenue from
newly acquired businesses contributed $5.2 million to revenue growth in the
fourth quarter of 2005. The Company reported net income from continuing
operations of $3.7 million, or $0.05 per diluted share, compared with $3.2
million reported for the fourth quarter a year ago, or $0.04 per diluted
share.

Steven L. Gerard: CEO/Director
Mr. Gerard was appointed as Chief Executive
Officer and a Director of the Company in October of 2000 and Chairman in
November 2002. Immediately prior to joining CBIZ, Mr. Gerard served for
three years as Chairman and CEO of Great Point Capital, Inc., a provider of
operational and financial advisory services to business clients. Before
that, Mr. Gerard served as Chairman and Chief Executive Officer of Triangle
Wire & Cable, Inc. Prior to commencing the turnaround of Triangle, Mr.
Gerard spent 16 years at Citibank, N.A., where he ultimately served as
Senior Managing Director, responsible for the risk management of $80 billion
of Citibank's commercial and investment banking activities in the United
States, Europe, Australia and Japan. Mr. Gerard began his career at the
American Stock Exchange, where he last served as Vice President of AMEX's
Securities Division. Mr. Gerard currently serves on the Board of Directors
for Lennar Corporation (NYSE: LEN), Fairchild Corporation (NYSE: FA), TIMCO
Aviation Services, Inc. (OTC BB: TMASE.OB) and Joy Global (NASDAQ: JOYG).
George A. Dufour: Chief Technology Officer
Mr. Dufourwas was appointed as Chief
Technology Officer of CBIZ in August of 2001. As Chief Technology Officer,
Mr. Dufour is responsible for all internal corporate technology and MIS
activities and initiatives, including software development, hardware
procurement and rationalization, systems security, Internet and intranet
activities, and communications networks.
Mr. Dufour brings an extensive technology
background to CBIZ, with experience in the healthcare, insurance, retail,
distribution, and manufacturing industries. Most recently, Mr. Dufour served
as Corporate Director of Information Access Services for University
Hospitals Health Systems (UHHS), where he achieved substantial cost savings
by consolidating IS resources throughout the health system.
Michael W. Gleespen: General
Counsel & Corporate Secretary
Mr.
Gleespen has served as CBIZ's General Counsel and Corporate Secretary since
2001. He also has served as Vice President of Regulatory Compliance
and Accountancy Compliance Officer and Technical Director since February
1998. Prior to joining CBIZ, Mr. Gleespen was an Assistant Ohio Attorney
General in the Business & Government Regulation Section and the Court of
Claims Defense Section from 1988 until 1998. Mr. Gleespen is a member of the
Board of Directors of the Cancer Hope Foundation, and is a member of the
American Society of Corporate Secretaries.
